Wealth Managers and Consumer Duty: Structural Exposure to the First Wave
Across the past four years the FCA has imposed more than £20m in personal fines on advisers, directors and senior managers of UK wealth and advisory businesses — almost all of it for failings in pension transfer advice and the surrounding consumer-outcomes governance. The Consumer Duty introduces a more general framework around the same underlying risks: are clients receiving products that meet their needs, at prices that represent fair value, with information they can understand, and with support that genuinely helps? Wealth managers carry pre-existing concentrations of risk against each of those four tests. When the first Consumer Duty Final Notice arrives — likely within the next twelve to eighteen months — it is more likely to land in wealth management than in any other sector.
The Four Outcomes Map Directly Onto Wealth-Manager Pressure Points
The Consumer Duty's four outcomes are products and services, price and value, consumer understanding, and consumer support. Each maps onto a pre-existing wealth-management risk concentration that the FCA has been examining for years.
Price and value: where the fee structure breaks down
Wealth-management fee structures combine product charges, platform fees, and advice fees. Adding all-in costs of 1.5–2.5% per annum is normal, and in some cases the total cost of ownership exceeds 3% before tax. The FCA's fair-value framework asks a direct question: does the benefit delivered to the client justify the price charged? For a £1m portfolio, a 2% all-in cost is £20,000 per year. The fair-value defence requires the firm to demonstrate the £20,000 buys something — financial planning value, portfolio construction skill, behavioural coaching, vulnerable-client support — that the client could not obtain more cheaply elsewhere. For many client segments, that demonstration is difficult.
Products and services: legacy suitability under retrospective scrutiny
The FCA's existing enforcement record against advisers is dominated by suitability failings under MIFID-era rules. The Consumer Duty raises the bar: suitability of products at the point of sale is necessary but not sufficient. Firms must also evidence that the product continues to meet the client's needs across the ownership period. For wealth managers running long-duration advice relationships — typical client tenure is twelve to twenty years — the volume of ongoing suitability evidence required is significant. Where it does not exist, the FCA's retrospective view of pre-2023 advice books will read like the British Steel Pension Scheme cases that produced the Lighthouse Advisory censure (May 2023), the Reynolds £2.04m personal fine (January 2026), Lewis and Jones bans (November 2023), and the Pembrokeshire Mortgage Centre £2.4m fine (December 2022).
Consumer understanding: complex products and ageing client bases
Wealth-management client bases skew materially older than retail bank or general insurance client bases. The FCA's vulnerable-customer framework explicitly requires firms to identify and adapt for cognitive decline, sensory impairment, and life events that affect a client's ability to engage with complex financial decisions. Wealth managers offering structured products, alternative investments, or income-drawdown strategies to clients in their seventies and eighties have a structurally high consumer-understanding evidential burden. Consumer support: the ongoing-advice question
Wealth managers typically charge ongoing advice fees of 0.5–1.0% of assets per year. The Consumer Duty requires firms to demonstrate that the support delivered against that fee is genuine — annual review meetings actually taking place, advice actually being given when client circumstances change, and proactive engagement on material market or regulatory changes. The FCA's January 2026 Carillion finance director fines, while not Consumer Duty cases, were rooted in a similar finding: senior individuals collected significant compensation for responsibilities they did not adequately discharge. The Consumer Duty would frame the same factual pattern at the firm level for advisory fees.

What the First Wealth-Manager Consumer Duty Case Will Look Like
Synthesising the FCA's enforcement patterns and the Year 1–Year 2 Consumer Duty Board Report supervisory work:
- The defendant will probably be a mid-tier wealth manager, not a tier-1 institution. Firms with £5bn–£25bn AUM, vertically integrated advice-platform-DFM structures, and a fair-value framework that struggles to defend the all-in cost. Several such firms have featured in the FCA's 2024–2025 thematic reviews of vertical integration.
- The case will combine multiple Duty outcomes — likely price and value plus consumer support — rather than citing one in isolation. This makes the case harder for the firm to litigate.
- A senior manager will be named personally alongside the firm. The most exposed SMF is the Head of Wealth or the CEO with personal responsibility for the Consumer Duty outcomes. The FCA's pattern is to publish individual Decision Notices in parallel with the firm-level Final Notice.
- The financial penalty will be calibrated to send a sector signal — likely in the £5m–£15m range for the firm, plus a personal penalty in the £200k–£500k range for the named senior manager.
- Redress will be required in addition to the penalty. The Consumer Duty allows the FCA to order specific consumer-outcomes remediation, and a wealth-management case will almost certainly include a multi-year redress programme for clients who can demonstrate poor outcomes.
What Wealth-Firm Boards Should Be Doing Now
For Heads of Compliance and Heads of Wealth: the Year 3 Board Report due July 2026 is your most important Consumer Duty document. The FCA's Year 2 supervisory review (April 2026) flagged areas where firms must demonstrably do more. Year 3 has to evidence that you have done it. Three specific operational priorities. (1) Refresh your fair-value framework with current data — last year's analysis at last year's price points is not adequate. (2) Audit your vulnerable-customer identification rate against industry benchmarks; if you're identifying less than 15–25% of your client base as having a vulnerability characteristic, the FCA will ask why. (3) Document genuine ongoing-advice delivery, with meeting records and advice content not just calendar invites.
For boards and NEDs at wealth firms: four questions for the next risk committee. (1) What is our defensible answer to "what does this client get for the 2% they pay us each year"? (2) Where in our business do we have legacy advice books that pre-date the Consumer Duty — and what is our exposure if those books are examined under the new framework? (3) Have we challenged management's fair-value analysis, with documented push-back where the cohort analysis was thin? (4) If a Final Notice landed on us next quarter, which named senior manager would carry the personal element — and have we discussed that explicitly with them?
For consultants and law firms advising wealth managers: the next twelve to eighteen months are the highest-stakes window. Once the first wealth-manager Consumer Duty case lands, firms will respond defensively and the available planning capacity will collapse into reactive remediation. Practical engagements: fair-value framework reviews paired with cohort-level outcomes analysis, vulnerable-customer identification audits, and personal-conduct preparation for the senior managers who will be named alongside firm-level cases.
What's Next
The remainder of 2026 will likely see continued thematic-review work on wealth-management vertical integration, fair-value evidence, and vulnerable-customer treatment. The Year 3 Consumer Duty Board Reports due in July 2026 will be the regulator's next major data collection. The first Final Notice against a wealth manager citing the Consumer Duty is realistically a late-2026 or early-2027 event — meaning the firms that have not already started repositioning have a single Board Report cycle in which to do so.
